A $5.8 Billion Signal: Healthcare’s Deal Machine Is Moving Care Into the Home
CD&R and McKesson agree to take Option Care Health private in a $5.8 billion deal, as billions more flow into rare disease, radiopharma and telehealth and Oura shelves its IPO. What it means, plus a deal-premium calculator and quiz.

NORTH MYRTLE BEACH, S.C. — October 12, 2026 — The most expensive room in American healthcare is the hospital bed. The fastest-growing one may be the living room. This week, two of the biggest names in healthcare finance put $5.8 billion behind that idea, and they were not alone. In the span of about ten days, buyers committed billions more to rare-disease drugs, nuclear-medicine manufacturing and telehealth, while one of the most anticipated health-tech IPOs of the year stepped back from the starting line.
Here is what happened, what it means, and where Paxton-Digital thinks the money is going next.
The headline deal: $5.8 billion to bring infusion care home
On October 6, private-equity firm CD&R and drug-distribution giant McKesson Corporation (NYSE: MCK) agreed to acquire Option Care Health (Nasdaq: OPCH), the largest independent provider of home and alternate-site infusion services in the United States. The terms:
- $32.05 per share in cash, about a 37% premium to Option Care’s October 5 closing price.
- A total enterprise value of roughly $5.8 billion.
- CD&R will own a majority stake of about 51%. McKesson will invest roughly $1.4 billion for about 49%, with a framework for McKesson to acquire CD&R’s interest later, subject to conditions and regulatory approvals.
- Expected to close in the first half of 2027, after which Option Care’s shares will stop trading and the company will be private.
McKesson Chair and CEO Brian Tyler called the investment “an important opportunity that aligns with McKesson’s long-term strategy.” That strategy is no secret: specialty and complex therapies delivered in lower-cost community and home settings. Option Care’s national infusion network is exactly that kind of footprint. The company also withdrew its 2026 guidance and will skip its third-quarter earnings call, standard practice once a company agrees to be taken private.
The rest of the board: billions in ten days
Option Care was the biggest headline, but it was part of a crowded week. Among the transactions announced or completed between late September and October 5:
- Shionogi / IntraBio — $2.0 billion upfront. The Japanese drugmaker is buying the Austin rare-disease company behind AQNEURSA. Closing is expected late this year, subject to antitrust review.
- GE HealthCare / SOFIE Biosciences — about $945 million. GE is buying a PET radiopharmaceutical contract manufacturer with 15 sites, a bet on the supply chain behind modern molecular imaging.
- AstraZeneca / Summit Therapeutics — $2 billion strategic investment for about a 12% stake, alongside a clinical collaboration.
- Grindr / PurposeMed (Freddie) — $250 million. A consumer app buying an HIV-prevention telehealth provider, with up to $70 million more in earnouts.
- MyEyeDr. / EyeCare Partners’ optometry division — more than 300 offices changing hands in one move.
The IPO window: open, but drafty
Public markets sent a more cautious signal. Oura, the smart-ring maker, postponed a planned Nasdaq IPO of up to about $2.2 billion, citing uncertainty in the listing market. Smaller issuers kept moving: molecular-diagnostics company Interpace Biosciences filed for a roughly $20 million offering tied to an uplisting from the over-the-counter market to Nasdaq.
The contrast is the story. Strategic buyers and private equity are writing large checks with conviction, while IPO candidates are waiting for steadier conditions. When public markets hesitate, private capital moves first. That is exactly what this week looked like.
Paxton-Digital’s Take
Follow the site of care. The Option Care deal is not really about infusion pumps. It is about where care happens. Every dollar of treatment that moves from a hospital to a home or a community clinic changes who earns the margin. A distributor partnering with private equity to own the last mile into the home is a structural bet, not a trade.
Supply chains are the new moat. GE HealthCare’s purchase of a radiopharmaceutical manufacturer tells the same story from another angle. Next-generation diagnostics and therapies are only as good as the ability to make and deliver them on time. Owning that capacity is becoming as valuable as owning the molecule.
IP is the price of admission. Shionogi did not pay $2 billion for a building. It paid for a protected, approved therapy and the years of exclusivity that come with it. That is the core of what Paxton-Digital does: helping teams understand how long they can protect what they build, and how likely it is to work. If you are evaluating a target, a partner or your own pipeline, start with the patent term and the clinical evidence. Our free Patent Term & Exclusivity Estimator is a good first pass, and Paxton Scout takes it the rest of the way.
What to watch: Option Care’s stockholder vote and regulatory review, whether Oura returns to the IPO calendar before year-end, and whether more distributors follow McKesson into direct ownership of home-based care.

Questions to ask before your next deal
- How many years of protected sales are left on the core asset, and what follow-on IP extends them?
- Does the target control its own manufacturing or delivery capacity, or rent it?
- Which site of care does the business win if treatment keeps moving out of the hospital?
- Would this company be worth more to a strategic buyer than to the public market right now?
